Peter Warren completes Wakeling acquisition after ACCC conditions

3 Min Read

Peter Warren Automotive Holdings has completed its acquisition of Wakeling Automotive, adding scale across Sydney, Wollongong and the Southern Highlands after the transaction cleared the ACCC subject to divestment conditions.

Peter Warren confirmed completion on 2 October. The deal was originally announced in December 2025 with consideration of about A$28 million and included a 30-dealership business representing 16 automotive brands and generating roughly A$500 million in annual turnover.

The transaction materially expands Peter Warren’s dealership network, but its final structure reflects a significant regulatory intervention under Australia’s new merger-control regime.

Eight sites must be divested

The ACCC approved the acquisition in September on the condition that Peter Warren divest eight dealership sites in Campbelltown and Smeaton Grange.

The regulator concluded that, without those conditions, the combined group would have operated 25 of 34 new-car dealerships in Sydney’s Macarthur region, creating a risk of substantially less competition in new-car sales, servicing and repairs.

The divestment package covers dealerships representing Kia, GMSV, RAM, Isuzu UTE, GAC, Volkswagen and Suzuki.

That makes the completed transaction an early example of how Australia’s mandatory merger regime can reshape a deal rather than simply clear or prohibit it. Since 1 January 2026, businesses meeting prescribed thresholds have been required to notify the ACCC and wait for approval before completing an acquisition.

Consolidation continues in automotive retail

For Peter Warren, Wakeling adds scale in Western Sydney and surrounding growth markets while broadening its exposure to multiple manufacturers and after-sales revenue streams.

The acquisition also extends a consolidation strategy that has made scale, inventory management and brand diversification increasingly important in automotive retail.

Commercial execution will now be judged on whether Peter Warren can integrate the acquired operations while completing the required divestments without eroding the operating benefits that supported the original deal thesis.

The transaction also shows the changing environment for Australian M&A. Larger acquisitions are now being assessed under a mandatory notification system in which market concentration, local competition and proposed remedies can directly affect transaction structure and timing.
